1. Acceptance of Terms

By accessing or using the Ishanx Payment Solutions platform ("Platform") operated by Ishanx Studio, you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Platform.

2. Description of Service

Ishanx Payment Solutions is a SaaS platform providing: payment collection tools, merchant management software, billing automation, transaction tracking, reporting dashboards, and API access. We are a software platform only — not a payment gateway, bank, or financial institution.

3. Third-Party Payment Processing

Ishanx Payment Solutions does not process, hold, or manage any customer or merchant funds. All monetary transactions are handled exclusively by authorized third-party payment processing partners. Settlement is governed entirely by those providers' terms. We are not liable for payment processing failures, delays, or disputes from third-party actions.

4. Merchant Responsibilities

Provide accurate and complete business information.
Comply with all applicable laws, regulations, and payment network rules.
Maintain security of account credentials and API keys.
Use the platform for lawful business purposes only.
Not misrepresent the nature of your business or transactions.
Notify us immediately of unauthorized account access.

5. Prohibited Activities

Any illegal activity including money laundering, fraud, or tax evasion.
Processing payments for prohibited goods or services.
Creating fake transactions or manipulating platform data.
Attempting to hack, exploit, or disrupt the Platform.
Scraping, copying, or reverse-engineering the Platform.
Violating third-party payment provider terms.
Impersonating another person or business.

6. Service Availability

We strive for high availability but do not guarantee 100% uptime. Maintenance downtime will be communicated in advance where possible. We are not liable for losses from Platform unavailability.

7. Fees & Payments

Subscription fees and applicable charges will be communicated clearly before billing. By subscribing, you authorize fee collection. Pricing may change with 30 days' notice to existing subscribers.

8. Intellectual Property

All content, software, designs, and materials are the intellectual property of Ishanx Studio. You retain ownership of your business data — we use it only to provide the service.

9. Limitation of Liability

To the maximum extent permitted by law, Ishanx Studio is not liable for: indirect or consequential damages; loss of profits or data; failures of third-party payment providers; unauthorized account access; or merchant-customer transaction disputes. Our total liability shall not exceed amounts paid by you in the preceding 3 months.

10. Account Suspension & Termination

We may suspend or terminate access immediately if you violate these Terms, engage in fraudulent activity, fail to pay fees, or a third-party provider requires it.

11. Compliance Requirements

You are solely responsible for compliance with GST, tax regulations, consumer protection laws, and data protection requirements applicable to your business.

12. Modifications

We may update these Terms at any time. Continued use after changes take effect constitutes acceptance. Significant changes notified by email with 15 days' advance notice.

13. Governing Law

These Terms are governed by the laws of India. Disputes subject to exclusive jurisdiction of courts of Bhubaneswar, Odisha, India.
